These Terms and Conditions ("Terms") constitute an agreement between you and Ann Likowo Molinge, an individual and sole proprietor doing business as TreeCrew Digital DFW ("TreeCrew Digital," "TreeCrew," "we," "us," or "our").
These Terms govern your access to and use of https://treecrewdigital.com/ and related websites, forms, booking tools, demonstrations, software-enabled services, communications, and other online services provided by TreeCrew Digital.
IMPORTANT NOTICE: THESE TERMS CONTAIN DISCLAIMERS, LIMITATIONS OF LIABILITY, AND A BINDING ARBITRATION AND CLASS-ACTION WAIVER PROVISION. PLEASE READ THEM CAREFULLY.
1 Acceptance of These Terms
By accessing or using the website, submitting a form where these Terms are presented, creating an account, clicking a button indicating agreement, purchasing services, or otherwise expressly accepting these Terms, you agree to be bound by them.
If you are accepting these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use services requiring acceptance of them.
2 Business Information
TreeCrew Digital DFW provides digital marketing, marketing automation, artificial-intelligence-enabled lead response, communications, lead management, and related business-growth services.
TreeCrew Digital currently markets services primarily to tree-service companies and similar businesses, including businesses located within the Dallas-Fort Worth metropolitan area.
3 Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to purchase TreeCrew Digital services.
Paid TreeCrew Digital services are intended primarily for commercial and business use.
4 Website Information
Information contained on our website is provided for general informational and marketing purposes.
Although we endeavor to provide accurate information, website content may contain errors, omissions, outdated information, or descriptions of services that have subsequently changed.
We may modify website content, service descriptions, pricing, features, or availability at any time, subject to contractual obligations we have already undertaken.
5 Growth Audits and Strategy Calls
TreeCrew Digital may offer free Growth Audits, strategy calls, demonstrations, assessments, recommendations, or similar consultations.
Unless expressly stated otherwise in a signed agreement:
• these services are informational;
• they do not guarantee particular business results;
• estimates, projections, identified opportunities, or potential revenue are not promises of future performance; and
• you remain responsible for your own business, financial, operational, marketing, and legal decisions.
6 TreeCrew Growth EcoSystem
TreeCrew Digital may provide services including, depending on the applicable plan:
• lead capture systems;
• landing pages;
• AI-powered chat;
• AI-powered voice services;
• missed-call response;
• SMS and email follow-up;
• calendar integration;
• appointment scheduling;
• pipeline tracking;
• review-request automation;
• Facebook or Instagram message or comment integrations;
• social-media services;
• local search optimization;
• business strategy assistance; and
• related technology and marketing services.
Available features may depend upon the specific service package, third-party providers, usage levels, technical capabilities, and written agreement between TreeCrew Digital and the client.
7 Separate Client Agreements
Purchasing TreeCrew Digital services may require execution or acceptance of a separate:
• proposal;
• order form;
• statement of work;
• subscription agreement;
• Master Services Agreement;
• Data Processing Agreement; or
• other written agreement.
If a separately executed agreement conflicts with these Terms concerning paid services, the separately executed agreement will control to the extent of that conflict.
8 Pricing
Current pricing may be displayed on our website, proposal, order form, or checkout page. Prices are subject to change for future purchases.
A price change will not modify a contractual pricing commitment already made to an existing customer except as permitted by the applicable client agreement.
Additional charges may apply for services or expenses including:
• advertising spend;
• telecommunications usage;
• high-volume SMS or telephone usage;
• premium software;
• custom development;
• additional websites or locations;
• third-party subscriptions;
• domain names;
• premium integrations;
• taxes; or
• services outside the agreed scope.
9 Founding Customer or Lifetime Pricing
TreeCrew Digital may make special pricing available to qualifying Founding Customers.
Unless a separate signed agreement provides otherwise, any statement that a Founding Customer receives a particular monthly price for life or a lifetime price means that the applicable base subscription rate will remain at the stated Founding Customer rate while:
1. the same customer maintains an active and continuous qualifying subscription;
2. the account remains in good standing; and
3. the customer remains on the applicable or substantially equivalent TreeCrew Digital service.
A lifetime pricing commitment does not mean that TreeCrew Digital is required to operate any particular product, feature, technology, or business indefinitely.
The lifetime rate does not necessarily include taxes, advertising spend, third-party costs, carrier fees, usage-based charges, new products, premium features, custom work, or services outside the original plan.
Cancellation or termination of the qualifying subscription may result in loss of Founding Customer pricing unless TreeCrew Digital agrees otherwise in writing.
10 Recurring Billing
Where you purchase a recurring subscription, you authorize TreeCrew Digital or its payment processor to charge the payment method provided according to the billing frequency and amount disclosed during enrollment or in your applicable client agreement.
Recurring charges will continue until the subscription is cancelled or terminated according to the applicable agreement. You are responsible for maintaining accurate billing and payment information.
11 Cancellation and Termination of Paid Services
Cancellation rights, minimum commitments, notice periods, final billing, refunds, and termination procedures for paid services will be governed by the applicable order form, subscription agreement, or client services agreement.
If no separate written cancellation provision applies, you may contact TreeCrew Digital to request cancellation before the next recurring billing period.
Amounts already earned, incurred, committed to third parties, or paid for completed work may be non-refundable to the fullest extent permitted by applicable law.
12 No Guaranteed Marketing Results
Marketing results are inherently uncertain. TreeCrew Digital does not guarantee:
• a particular number of leads;
• a particular number of telephone calls;
• search-engine rankings;
• social-media reach;
• advertising impressions;
• appointments;
• estimates;
• jobs;
• sales;
• revenue;
• profit;
• review ratings;
• customer response rates; or
• return on advertising investment.
Results may depend on circumstances outside TreeCrew Digital's control, including market conditions, competition, client pricing, sales processes, client responsiveness, service quality, customer demand, weather, economic conditions, platform algorithms, advertising policies, and third-party services.
Statements regarding potential outcomes are illustrative unless expressly stated otherwise in a signed written agreement.
13 Client Responsibilities
Clients are responsible for providing TreeCrew Digital with accurate information and timely access reasonably necessary to perform contracted services. Clients are also responsible for:
• the legality and accuracy of their offers and advertising claims;
• the quality, licensing, and safety of the services they sell;
• responding to booked leads and customers;
• honoring estimates, appointments, and commitments;
• obtaining licenses and permits applicable to their business;
• compliance with industry regulations;
• maintaining appropriate insurance;
• providing lawful marketing lists and customer data;
• obtaining required consumer permissions and consents; and
• notifying TreeCrew Digital of restrictions applicable to their communications or data.
14 Client Data and Consumer Consent
A client may provide TreeCrew Digital access to information concerning leads, prospects, employees, customers, or other individuals.
The client represents and warrants that it has the legal authority to provide such information to TreeCrew Digital and to instruct TreeCrew Digital to process that information for the agreed services.
The client is responsible for providing legally required notices and obtaining legally required permissions for marketing communications, automated calls, SMS messages, emails, recordings, and other activities conducted on the client's behalf.
TreeCrew Digital may require a client to stop or modify a campaign that we reasonably believe presents a legal, regulatory, platform-policy, security, or reputational risk.
15 SMS Telephone and Automated Communications
TreeCrew Digital services may facilitate telephone calls, text messages, emails, artificial-intelligence communications, automated messaging, artificial or prerecorded voice technology, or similar communications.
Neither TreeCrew Digital nor its technology is intended to authorize unlawful telemarketing or messaging. Clients using these features are responsible for ensuring that their use complies with applicable laws and regulations concerning:
• consent;
• do-not-call requirements;
• communication hours;
• identification requirements;
• opt-out requests;
• marketing disclosures;
• call recording; and
• customer communications.
TreeCrew Digital may implement technical safeguards, suppression lists, opt-out processing, or other controls but does not assume responsibility for a client's independent legal obligations.
16 AI Generated Communications
Certain TreeCrew Digital services may use artificial intelligence. AI systems can misunderstand information, generate inaccurate statements, or respond unexpectedly.
Clients should not configure AI systems to provide professional legal, medical, financial, emergency, or safety advice unless appropriate safeguards and qualified professional oversight are in place.
TreeCrew Digital does not warrant that every AI-generated response will be error-free.
17 No Emergency Services
TreeCrew Digital's AI, chat, telephone, messaging, and automation systems are not emergency communication services.
They should not be relied upon for emergencies involving immediate risks to health, safety, property, or life.
18 Third Party Platforms
TreeCrew Digital services may rely upon or integrate with third-party products and platforms. These may include CRM systems, social-media platforms, search engines, advertising services, telephone carriers, SMS providers, artificial-intelligence providers, calendars, email systems, hosting companies, payment processors, and other services.
TreeCrew Digital does not control independent third-party services and is not responsible for:
• outages;
• API changes;
• account suspensions;
• algorithm changes;
• policy changes;
• price changes;
• data loss caused solely by the third party; or
• discontinuation of third-party features.
Where reasonably possible, we may assist clients in responding to such changes, but continuous compatibility cannot be guaranteed.
19 Client Accounts and Credentials
You are responsible for safeguarding passwords, API keys, access credentials, telephone verification codes, and other account information under your control.
You must promptly notify TreeCrew Digital if you reasonably suspect unauthorized access to an account or system connected to our services.
20 Intellectual Property
The TreeCrew Digital website and materials owned by TreeCrew Digital, including trademarks, branding, text, graphics, designs, software configurations, templates, processes, workflows, documentation, videos, and other original materials, are protected by applicable intellectual-property laws.
Except as expressly authorized, you may not copy, reproduce, sell, sublicense, scrape, reverse engineer, distribute, republish, or commercially exploit TreeCrew Digital proprietary materials.
21 Client Materials
Clients retain ownership of materials they lawfully own and provide to TreeCrew Digital, including their trademarks, logos, photographs, business information, and original content.
By providing such materials, the client grants TreeCrew Digital a non-exclusive license to use, reproduce, modify, publish, transmit, and display those materials as reasonably necessary to perform the contracted services.
The client represents that it has sufficient rights to all materials it instructs TreeCrew Digital to use.
22 Ownership of Deliverables
Ownership and licensing of websites, campaigns, advertisements, designs, automation systems, workflows, software configurations, written content, data, or other deliverables created during a paid engagement will be determined by the applicable client services agreement, statement of work, or order form.
Unless expressly transferred in writing, TreeCrew Digital retains ownership of its pre-existing intellectual property, methods, know-how, templates, reusable workflows, software configurations, and generalized technology.
23 Feedback
If you voluntarily provide suggestions, recommendations, ideas, or feedback concerning TreeCrew Digital products or services, you grant us permission to use that feedback without restriction or compensation, provided that doing so does not transfer ownership of your confidential business information.
24 Prohibited Use
You may not use the website or TreeCrew Digital services to:
• violate applicable law;
• impersonate another person or organization;
• commit fraud;
• transmit malware;
• interfere with system security;
• gain unauthorized access;
• send unlawful spam or marketing communications;
• harass or threaten individuals;
• infringe intellectual-property rights;
• collect information unlawfully;
• engage in deceptive marketing; or
• use TreeCrew Digital technology in a manner that could reasonably cause material harm to TreeCrew Digital, another customer, or a third party.
We may suspend access when we reasonably believe these restrictions have been violated.
25 Confidentiality
Information identified as confidential or that reasonably should be understood as confidential should not be disclosed to third parties except as required to perform services, with authorization, or as required by law.
More detailed confidentiality obligations may be included in a separate client agreement.
26 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ANY SERVICES NOT SUBJECT TO A DIFFERENT EXPRESS WRITTEN WARRANTY ARE PROVIDED AS IS AND AS AVAILABLE.
TREECREW DIGITAL DISCLAIMS IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
TREECREW DIGITAL DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, COMPLETELY SECURE, ERROR-FREE, OR COMPATIBLE WITH EVERY THIRD-PARTY PLATFORM.
27 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREECREW DIGITAL AND ITS OWNER, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, OR LOST OPPORTUNITIES ARISING FROM OR RELATING TO THE WEBSITE OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREECREW DIGITAL'S AGGREGATE LIABILITY ARISING FROM A PAID SERVICE WILL NOT EXCEED THE AMOUNT PAID TO TREECREW DIGITAL FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, UNLESS A SEPARATE SIGNED AGREEMENT PROVIDES A DIFFERENT LIMITATION.
FOR A CLAIM RELATING ONLY TO FREE WEBSITE USE, TREECREW DIGITAL'S AGGREGATE LIABILITY WILL NOT EXCEED $100.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
28 Indemnification
To the extent permitted by law, if you use TreeCrew Digital services on behalf of a business, you agree to indemnify and defend TreeCrew Digital and its owner, employees, contractors, and agents against third-party claims, liabilities, damages, judgments, and reasonable expenses arising from:
• your unlawful use of the services;
• information or materials you supplied;
• your products or services;
• your violation of these Terms;
• your violation of applicable law;
• your violation of third-party rights; or
• communications or marketing activities that you instructed TreeCrew Digital to conduct using data or permissions supplied by you.
TreeCrew Digital will provide reasonable notice of an indemnified claim where practicable.
29 Suspension and Termination
We may suspend or terminate access to the website or services if:
• required by law;
• payment is materially overdue;
• there is suspected fraud or unlawful activity;
• continued service poses a material security risk;
• a user materially violates these Terms; or
• suspension or termination is otherwise permitted by an applicable client agreement.
30 Informal Dispute Resolution
Before filing arbitration or litigation, the complaining party must first provide the other party written notice describing the dispute and requested resolution.
The parties agree to attempt in good faith to resolve the dispute for at least 30 days after receipt of the notice before commencing a formal proceeding, except where immediate injunctive relief is reasonably necessary.
Notices to TreeCrew Digital must be sent to [email protected].
31 Binding Arbitration
Except for disputes eligible for small-claims court and claims seeking appropriate injunctive relief concerning intellectual property, unauthorized system access, or misuse of confidential information, disputes arising from or relating to these Terms or TreeCrew Digital services shall be resolved by binding arbitration to the extent permitted by law.
The arbitration will be administered by the American Arbitration Association under the AAA rules applicable to the nature of the dispute. The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration provision.
Unless the parties agree otherwise, arbitration will take place in or reasonably near Dallas County, Texas, or may be conducted remotely where permitted by the applicable arbitration rules.
The arbitrator may award remedies available under applicable law but may not modify these Terms.
32 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND TREECREW DIGITAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless all affected parties agree otherwise, an arbitrator may not combine the claims of more than one person or organization.
33 Arbitration Opt Out
You may opt out of the arbitration and class-action-waiver provisions by sending written notice to [email protected] within 30 days after you first become bound by these Terms.
Your notice must state:
• your full name;
• business name, if applicable;
• email address;
• telephone number; and
• that you are opting out of the arbitration provision in the TreeCrew Digital Terms and Conditions.
Opting out of arbitration will not terminate any other provision of these Terms.
34 Governing Law
Except to the extent federal law governs a matter, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
For disputes not subject to arbitration, the parties consent to jurisdiction in the appropriate state or federal courts located in Dallas County, Texas, unless another venue is required by applicable law.
35 Electronic Communications
You agree that contracts, notices, disclosures, records, and other communications may be provided electronically where permitted by law.
Electronic acceptance, electronic records, and electronic signatures may have the same legal effect as corresponding paper records and signatures where applicable law so provides.
36 Changes to These Terms
We may revise these Terms from time to time. Updated Terms will be posted with a new Last Updated date.
Material changes affecting an existing paid customer will apply according to the applicable client agreement and applicable law. Continued use of services after legally effective notice of revised Terms may constitute acceptance where permitted by law.
37 Severability
If any provision of these Terms is found unenforceable, the provision will be enforced to the greatest extent permitted by law or modified to the minimum extent necessary, and the remaining provisions will remain in effect.
38 No Waiver
Failure to enforce a provision of these Terms does not waive the right to enforce that provision later.
39 Assignment
You may not assign a paid service agreement without TreeCrew Digital's prior written consent, except as otherwise provided by a separate written agreement.
TreeCrew Digital may assign these Terms in connection with a merger, acquisition, sale of substantially all relevant assets, corporate reorganization, or similar transaction.
40 Entire Agreement
These Terms, together with the Privacy Policy and any applicable signed proposal, order form, Master Services Agreement, Data Processing Agreement, or Statement of Work, constitute the agreement concerning the matters they address.
A signed client agreement controls over these general website Terms where the documents directly conflict.
